Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between PLANEX ("Studio", "we", "us") and the client ("Client", "you").

PLANEX provides bespoke software engineering, web application development, mobile app development, database modeling, UI/UX prototyping, and cloud deployment services as detailed in mutually executed Product Requirement Documents (PRDs) and Milestone Proposals.

Unless otherwise stated in a custom Statement of Work (SOW), all projects are structured under a 100% fixed-price milestone model:

• Milestone 1 (Kickoff & Discovery): 30% deposit due prior to commencing Phase 01 architecture modeling and PRD specification.
• Milestone 2 (Staging & Core Sprints): 35% due upon successful deployment of functional micro-routes to the private staging environment and client demo sign-off.
• Milestone 3 (Production Launch & Handover): 35% due upon zero-downtime production release, DNS cutover, and full source code / IP assignment.

Invoices are payable within 7 business days via bank wire, ACH, Stripe, or authorized regional payment gateways.

Any modifications, additions, or structural pivots outside the locked PRD scope require a formal Change Order.

Within 24 hours of a requested modification, PLANEX provides an itemized impact assessment detailing the additional timeline and cost. No billable out-of-scope development will commence without written client authorization.

100% Client Code Ownership: Upon receipt of full settlement for each completed milestone, PLANEX assigns all worldwide rights, title, copyright, and ownership of custom-developed source code, database schemas, and Figma design tokens exclusively to the Client.

PLANEX retains zero proprietary runtime locks, background licensing fees, or backdoors. We transfer full administrative access to your designated GitHub/GitLab organization and cloud accounts upon project completion.

Every custom build includes a complimentary 30-day post-launch bug warranty commencing on the date of production DNS cutover.

During this period, PLANEX will remediate any functional defects, broken API routes, or regressions deviating from the approved PRD at zero cost to the Client. The warranty excludes issues arising from unauthorized client code modifications or third-party upstream API outages.

To the maximum extent permitted by applicable law, PLANEX shall not be liable for any indirect, incidental, punitive, or consequential damages (including loss of profits, data corruption, or business interruption). Total cumulative liability under any contract shall not exceed the total fees paid by the Client to PLANEX under the applicable Statement of Work.

These Terms shall be governed by and construed in accordance with the laws of Bangladesh, without regard to conflict of law principles.
